Closely-held Corporation Disputes
We represent closely-held corporations, and controlling and minority shareholders, in corporate disputes. We have successfully defended at trial and on appeal claims for breach of fiduciary duty, wrongful termination, and derivative claims for disgorgement of excessive compensation. We have represented both minority and majority shareholders in the negotiation of the purchase and sale of stock.
Real Estate Litigation
We represent corporate and individual clients in disputes arising from the purchase and sale, lease, and development of real estate. Representative matters include successfully prosecuting a federal court breach of contract suit against a commercial tenant; defending tenants’ breach of contract claims against commercial landlords; enforcing development agreements and personal guarantees; successfully obtaining the equitable reformation of a deed; representing parties in sale and lease commission disputes; successfully defending against motion for lis pendens and real estate attachment. We have also successfully handled commercial and residential tax abatement matters and claims for tax exemptions.
Insurance Coverage Counseling and Litigation
We advise policy holders on insurance coverage issues, negotiate with insurers and their counsel, and litigate coverage claims arising under general liability, employment practices liability, professional liability, fiduciary liability, and excess liability and umbrella policies.
